  1. Agreement Overview

Welcome to MetamorphosisOnline. These Terms and Conditions (“Agreement”) govern your access to and use of the MetamorphosisOnline platform (the “Platform”) operated by MetamorphosisOnline (the “Company,” “we,” “us,” or “our”). This Agreement constitutes a binding contract between you (“you” or “Client”) and MetamorphosisOnline. By accessing or using the Platform, you agree to these Terms and Conditions. 

Important Notice: This Agreement includes provisions for binding arbitration and a class action waiver. Please see Section 8 for details.

 

  1. The Therapists and Therapy Services

2.1 Nature of Therapist Services

The Platform is designed to connect Clients with qualified, independent mental health professionals (“The Practitioners”) who provide cognitive behavioral therapy (CBT) and related therapy services through virtual sessions (” Diverse Minds Services”). The Company itself does not provide healthcare or therapy services and is not a licensed healthcare provider. We serve solely as a facilitator, enabling Clients to access Therapist Services via the Platform.

2.2 Therapist Qualifications

All Therapists offering services on the Platform are mental health professionals registered with recognized U.K. regulatory bodies, including but not limited to:

  • Wellbeing Practitioners
  • Nurses
  • Social Workers
  • Psychotherapists

Each Diverse Minds Practitioner holds relevant qualifications and registration with one or more of the following professional bodies:

  • The British Psychological Society (BPS)
  • The Health and Care Professions Council (HCPC)
  • The British Association for Behavioural and Cognitive Psychotherapies (BABCP)
  • The British Association for Counselling and Psychotherapy (BACP)
  • The Nursing and Midwifery Council (NMC)

2.3 Independent Practitioner Status

The Practitioners are independent providers and are not employees, agents, or representatives of MetamorphosisOnline. They are solely responsible for the services they provide. 

2.4 Emergency and Limitations of Services

  • Non-Emergency Services: Therapist Services offered through the Platform are not intended for crisis or emergency intervention. If you are experiencing a medical emergency, suicidal thoughts, or a risk of harm to yourself or others, please contact local emergency services immediately.
  • No In-Person Diagnosis: The Platform is not intended to provide formal clinical diagnoses that require in-person evaluations. If you require documentation for legal matters, court-ordered therapy, or emotional support animal certification, we recommend seeking appropriate in-person healthcare services.

  1. Privacy and Data Protection

3.1 Privacy Policy

Protecting your personal information is a priority for us. Our data collection, use, and disclosure practices are outlined in our Privacy Policy, available on our website. By agreeing to these Terms, you also consent to the terms of the Privacy Policy, which is an integral part of this Agreement.

Note: Any modifications to this Agreement or the Privacy Policy will apply from the date of posting on the Platform, and your continued use of the Platform constitutes acceptance of any changes.


  1. Payment and Billing

4.1 Payment Structure

  • Subscription Model: Therapy sessions are available through monthly subscription packages, which are billed in advance. Payment is due upon booking each session, and accepted payment methods are detailed on the Platform.
  • Price Changes: Fees are subject to change at our discretion. Any price changes will be communicated to you before your next scheduled session, and your continued use of the Platform following the notice of a fee change constitutes your acceptance of the updated fees.

4.2 Billing Practices

  • Currency: All fees are payable in British Pounds (GBP) unless otherwise specified.
  • Transaction Processing: Payment is processed through a third-party payment processor, and by using the Platform, you agree to the terms and conditions of our payment processor.

  1. Cancellation and Refund Policy

5.1 Cancellations and Rescheduling

  • 24-Hour Notice: You may cancel or reschedule a scheduled session up to 24 hours before the appointment for a full refund or to avoid being charged for the session.
  • Less Than 24-Hour Notice: If you cancel or reschedule with less than 24 hours’ notice, you will not be eligible for a refund, and you may be charged for the missed session.

5.2 Refunds

Refunds are provided in accordance with our cancellation policy above. For any issues related to billing errors or refund requests, please contact our support team via the contact information provided on the Platform.

  1. Limitation of Liability

MetamorphosisOnline provides no guarantees as to the effectiveness of any therapy sessions conducted through the Platform. By using the Platform, you acknowledge that:

  • Limited Liability: We are not liable for indirect, incidental, special, or consequential damages arising from your use of the Platform or the services provided by the Practitioners, including but not limited to any issues related to confidentiality breaches, unauthorized access to personal data, or misuse of your personal information by a Practitioner.
  • No Warranties: We make no warranties or representations regarding specific outcomes or results from the therapy services. Therapists are independent professionals, and you use the Platform at your own risk.

  1. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.


  1. Dispute Resolution and Arbitration

8.1 Binding Arbitration

In the event of a dispute arising from or relating to this Agreement, the Platform, or the services provided, you agree to resolve such disputes through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA).

  • Arbitration Process: Arbitration will be conducted in London, England, and governed by the laws of England and Wales.
  • Class Action Waiver: You agree to bring claims solely in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action.

8.2 Exceptions

We retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction for disputes related to intellectual property rights or unauthorized use of the Platform.

  1. Modifications to Terms

MetamorphosisOnline reserves the right to modify this Agreement at any time. Any changes will take effect immediately upon posting the revised Terms on the Platform. By continuing to access or use the Platform after any modifications are posted, you signify your acceptance of the updated Agreement. If you do not agree with the revised Terms, you must discontinue use of the Platform.
